Organized by Middle Market Inc. (Marketing Partner for Global Capital Institute LLC, Host of the USA Economic Forum ®)

Introduction
This Agreement governs the participation of individuals and entities ("Participants") in the USA Economic Forum and the Financing and Investment Tour ("the PLATFORM"), hosted by the Global Capital Institute LLC and organized and marketed by Middle Market Inc. ("Middle Market Inc."). By purchasing a ticket, registering for participating, or using any of Middle Market Inc.’s services, Participants agree to the terms and conditions outlined herein.
1. Acceptance of Terms
By purchasing a ticket and/or registering to use the platform, Participants agree to be bound by the Privacy Policy and User Terms of Middle Market Inc. Participants also agree to the rules and guidelines specific to the USA Economic Forum and the Financing and Investment Tour, as amended from time to time. These Terms and Conditions apply to all participants, sponsors, partners, and speakers in the Event(s).
2. Eligibility and Age Verification
Participants must be 18 years of age or older to register for and participate in the Event(s). By registering, Participants guarantee that they are at least 18 years old.
- Parents or legal guardians are responsible for the use of the site and registration by minors. The same terms and conditions outlined in this Agreement apply to minors whose participation is authorized by a parent or legal guardian. By permitting a minor to register or attend, the parent or guardian agrees to be bound by this Agreement on the minor’s behalf.
3. Non-refundable Tickets and Services
All tickets and services purchased for participation in the USA Economic Forum or the Financing and Investment Tour are non-refundable. Prospective participants are encouraged to conduct their own research, ask questions, and ensure their understanding of the Platform before making any purchase. No refunds will be provided under any circumstances.
5. Intellectual Property & Branding
All content, intellectual property, and branding associated with the USA Economic Forum® and the Financing and Investment Tour, and Middle Market Inc Services., including but not limited to presentations, logos, marketing materials, and event content, are the exclusive property of Middle Market Inc.
- Participants, sponsors, and speakers shall not claim ownership of any content, branding, or intellectual property unless explicitly agreed upon in a written agreement prior to the Event.
- Unauthorized use, reproduction, or distribution of any content or branding is prohibited.
6. Sponsorship, Partnership, and Speaking Engagements
All sponsors, partners, and speakers must agree to the Terms and Conditions outlined herein. Additional contractual agreements may apply for sponsorships, partnerships, or speaking engagements, depending on the specific role and level of involvement.
7. Tiered Participation
The Platform offers different tiers of participation:
- Participants: Individuals or entities with a paid registration.
- Sponsors: Companies or individuals offering financial support for the Platform. Additional obligations and rights may be subject to a separate sponsorship agreement.
- Partners: Strategic entities collaborating with Middle Market Inc. or Global Capital Institute LLC.
- Speakers: Individuals presenting at the Platform.
All roles require the purchase of the General Entrance or Principal Proposal respectively as a prerequisite for involvement.
8. No Liability for Third-Party Actions
Middle Market Inc. and Global Capital Institute LLC are not liable for the actions, statements, or omissions of third-party vendors, speakers, or participants during the Event. All participants are expected to adhere to the highest professional and ethical standards, and failure to do so may result in removal from the Platform without refund.
9. Privacy Policy
Participants agree to the Privacy Policy of Middle Market Inc., which governs the collection, use, and sharing of any personal data submitted during the registration process and participation in the Event.
10. Alternative Dispute Resolution (ADR) and Legal Fees
In the event of any disputes arising from or related to this Agreement, Participants agree to resolve such disputes through arbitration or another form of alternative dispute resolution (ADR) as selected by Middle Market Inc.
- The losing party in any such dispute shall be responsible for paying all legal fees and costs associated with the arbitration or other ADR process.
11. Limitation of Liability
Middle Market Inc. and its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, and representatives are not liable for any damages, losses, or injuries arising from Participants' involvement in the Platform, except in cases of gross negligence or intentional misconduct.
- Force Majeure: Middle Market Inc. is not responsible for any cancellations, delays, or changes to the Event schedule due to circumstances beyond its control, including but not limited to natural disastUSEF_header_desktop_main-pageers, pandemics, or other acts of God.
12. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the state of Wyoming, without regard to its conflict of law principles. Any legal action arising out of this Agreement shall be brought exclusively in the state or federal courts located in Wyoming.
13. Modifications to the Terms and Conditions
Middle Market Inc. reserves the right to modify these Terms and Conditions at any time, with or without notice. Continued participation in the Event following any changes to the Terms and Conditions constitutes acceptance of those changes.
14. Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
15. Entire Agreement
This Agreement constitutes the entire understanding between the parties regarding participation in the USA Economic Forum and the Financing and Investment Tour, superseding all prior agreements, written or oral, relating to the subject matter herein.
By registering for the USA Economic Forum and/or the Financing and Investment Tour, you acknowledge that you are over 18 years of age, or if under 18, that your parent or legal guardian accepts responsibility for your participation. Additionally, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.
